Decree Law No. 126-B\/2025 of 5 December transposed into national law the Delegated Directive (EU) 2023\/2775 of the European Commission of 17 October 2023, by amending the size criteria applicable to micro, small, medium-sized and large companies or groups, updating the balance sheet and net turnover thresholds, taking into account economic developments and the impact of inflation in recent years. The decree-law amends Decree-Law No. 158\/2009 of 13 July, in its current wording, which approves the Accounting Standardisation System.<\/span><\/p>\n

Scope of application of the SNC<\/strong><\/span><\/p>\n

The following entities fall within the scope of application of the Accounting Standardization System (SNC): companies governed by the Portuguese Commercial Companies Code; sole proprietorships regulated by the Commercial Code; single-member limited liability establishments; public companies (not falling within the scope of the SNC for Public Administrations); cooperatives; complementary groupings of companies and European economic interest groupings; and entities in the non-profit sector.<\/span><\/p>\n

<\/strong><\/span><\/p>\n

Adjustment of size criteria for companies<\/strong><\/span><\/p>\n

Decree Law No. 126-B\/2025 adjusted the size criteria for companies.<\/span><\/p>\n

Entities are henceforth considered micro-entities where, at the balance sheet date, they do not exceed two of the following three limits:<\/span><\/p>\n

– Balance sheet total: EUR 450,000 (previously 350,000).<\/span><\/p>\n

– Net turnover: EUR 900,000 (previously 700,000).<\/span><\/p>\n

– Average number of employees during the financial year: 10 (unchanged).<\/span><\/p>\n

Small entities are now deemed to be those which, save for the situations referred to above, at the balance sheet date do not exceed two of the following three limits:<\/span><\/p>\n

– Balance sheet total: EUR 5,000,000 (previously 4,000,000).<\/span><\/p>\n

– Net turnover: EUR 10,000,000 (previously 8,000,000).<\/span><\/p>\n

– Average number of employees during the period: 50 (unchanged).<\/span><\/p>\n

Medium-sized entities are henceforth deemed to be those which, save for the situations referred to above, at the balance sheet date do not exceed two of the following three limits:<\/span><\/p>\n

– Balance sheet total: EUR 25,000,000 (previously 20,000,000).<\/span><\/p>\n

– Net turnover: EUR 50,000,000 (previously 40,000,000).<\/span><\/p>\n

– Average number of employees during the period: 250 (unchanged).<\/span><\/p>\n

Large entities are deemed to be those which, at the balance sheet date, exceed two of the following three limits:<\/span><\/p>\n

– Balance sheet total: EUR 25,000,000 (previously 20,000,000).<\/span><\/p>\n

– Net turnover: EUR 50,000,000 (previously 40,000,000).<\/span><\/p>\n

– Average number of employees during the period: 250 (unchanged).<\/span><\/p>\n

Adjustment of size criteria for company groups<\/strong><\/span><\/p>\n

Small groups are henceforth deemed to be those groups consisting of the parent company and the subsidiary companies to be included in the consolidation which, on a consolidated basis and at the balance sheet date of the parent undertaking, do not exceed two of the following three limits: <\/span><\/p>\n

– Balance sheet total: EUR 7,500,000 (previously 6,000,000)<\/span><\/p>\n

– Net turnover: EUR 15,000,000 (previously 12,000,000)<\/span><\/p>\n

– Average number of employees during the period: 50 (unchanged).<\/span><\/p>\n

Under this Decree Law, medium-sized groups are deemed to be those which are not small groups and which consist of the parent company and the subsidiary companies to be included in the consolidation and which, on a consolidated basis and at the balance sheet date of the parent company, do not exceed two of the following three thresholds:<\/span><\/p>\n

– Balance sheet total: EUR 25,000,000.<\/span><\/p>\n

– Net turnover: EUR 50,000,000.<\/span><\/p>\n

– Average number of employees during the period: 250.<\/span><\/p>\n

They shall be considered large groups those composed of the parent company and the subsidiaries to be included in the consolidation which, on a consolidated basis and as at the parent company\u2019s balance sheet date, exceed two of the following three thresholds:<\/span><\/p>\n

– Balance sheet total: EUR 25,000,000.<\/span><\/p>\n

– Net turnover: EUR 50,000,000.<\/span><\/p>\n

– Average number of employees during the period: 250.<\/span><\/p>\n

Decree Law no. 126-B\/2025 enters into force on December 5, 2025, and applies to the financial statements relating to financial years beginning on or after January 1, 2026.<\/span><\/p>\n
